JOB DESCRIPTION

Mission/ Core purpose of the Job

The Manager: Company Secretary is tasked with overseeing the Company Secretarial and Governance functions for the Bayobab Group & Opcos. Their mission is to ensure compliance with legal and regulatory standards, foster effective communication among the board of directors, senior management, and shareholders, and uphold best practices in corporate governance.

By ensuring compliance, facilitating communication, maintaining corporate records, managing shareholder relations, organizing board meetings, and offering guidance on corporate governance, the Manager: Company Secretary plays a crucial role in promoting transparency and efficiency within the organization.

RESPONSIBILITIES

1. Strategy Development and Implementation

  • Assist in formulating the CoSec agenda & strategy to align with overarching business objectives and regulatory requirements.
  • Regularly review the functional agenda to ensure alignment with internal and external dynamics.

2. Operational Delivery

Support Delivery Management

  • Ensure excellence in CoSec agenda delivery by offering insights and serving as a trusted advisor to the Senior Manager CoSec.
  • Develop expertise in the field to facilitate knowledge sharing across Bayobab Opcos.
  • Conduct periodic reviews to ensure alignment with standardized practices and industry trends.
  • Ensure compliance with Policies, Statutory & Regulatory guidelines, Reporting & Disclosures, and Compliance mandates across Bayobab Group and Opcos.
  • Implement Harmonised CoSec work.

Company Secretarial Services

  • Drive company secretarial services agenda and ensure compliance with guidelines.
  • Assist Senior Manager CoSec in fulfilling organizational mandates.
  • Track governance best practices and trends with external law firms.
  • Develop annual CoSec activity calendar and ensure timely meetings.
  • Coordinate board and committee meetings, ensuring necessary logistics.
  • Prepare and circulate agendas and related documents for meetings.
  • Maintain detailed records of proceedings for various meetings.
  • Provide Company Secretarial Services for Board meetings.
  • Assist in director induction and evaluation processes.
  • Maintain statutory books and handle correspondence.

Governance

  • Support Governance Assessments and analyze identified lapses.
  • Develop guidance on governance structures and committees.
  • Track governance best practices and trends.
  • Support DMF implementation.
  • Facilitate governance, risk, and compliance training.
  • Design and implement Governance policies and processes.
  • Ensure high standards of corporate governance and compliance.
  • Support Opcos in adhering to Governance requirements.
  • Track changes in governance regulations and support implementation.

QUALIFICATIONS

Job Requirements (Education, Experience and Competencies)

Education

  1. Bachelor’s degree in Law with LLB or BCom Law qualification.
  2. Admitted Attorney certification.
  3. Chartered Secretary qualification is advantageous.
  4. Proficiency in both French and English languages.

Experience

  1. Minimum of 4 years’ experience in Commercial/Corporate Law, with exposure to company Secretariat management.
  2. Prior experience in a large local law firm or in the legal department/Company secretarial role of a listed company or multinational is preferred.

Experience must include

  1. Telecommunications experience is beneficial.
  2. Demonstrated success as a Company Secretary in a large corporate setting.
