Mission Principale
Le/la Legal Officer est chargé(e) d’assurer la sécurité juridique des engagements de la banque, de gérer les litiges, les procédures judiciaires, les recouvrements, et de veiller au respect des obligations contractuelles et réglementaires. Il/elle intervient également dans la gestion des actes de procédure notifiés à la banque.
Responsabilités Clés

Assurer la conformité légale des activités bancaires pour une prévention efficace des risques ;

Fournir un accompagnement juridique aux différentes entités internes ;

Assurer une veille réglementaire pour anticiper les changements impactant la banque ;

Gérer et archiver les dossiers de garanties et les documents juridiques ;
-
Suivre les litiges et coordonner avec les cabinets juridiques et organismes de recouvrement ;
-
Contrôler et conserver les titres et garanties détenus par la banque ;
-
Piloter les formalités juridiques liées à la constitution des garanties avec les notaires et partenaires externes ;

Assister le Secrétariat Général dans la préparation des réunions du Conseil d’Administration et Assemblées Générales ;

Gérer les procédures judiciaires (saisies, réquisitions, successions, etc.).
Profil Recherché
Expérience
-
Minimum 5 ans d’expérience dans un poste similaire en cabinet ou entreprise ;
-
Maîtrise du droit OHADA, du droit bancaire en zone CEMAC, et du droit des affaires ;
-
Connaissance du Common Law est un atout ;
-
Bonne compréhension des techniques contractuelles et opérations bancaires ;
-
Maîtrise des outils informatiques ;
-
Bilingue (Français/Anglais) souhaité.
Formation
-
Diplôme minimum : Bac+5 en Droit ;

Toute certification juridique complémentaire constitue un avantage.

Job Purpose
The Treasury Custody & Business Optimization Officer is responsible for safeguarding and managing securities and other assets under the bank’s custody. The role includes asset revaluation, portfolio acquisition, and treasury business optimization, ensuring efficient processes, resource management, and compliance with regulatory frameworks.
Key Responsibilities
- Custody Management: Oversee the sale and purchase of assets, cash reconciliation, and confirmation of transferred shares/units to investors.
- Portfolio Oversight: Maintain accurate records of unit holders, ensuring compliance with mutual fund regulations.
- Regulatory Compliance: Ensure full adherence to COSUMAF Regulation No.1 of July 21, 2022.
- Operational Support: Provide financial security confirmations to fund managers and process fund instructions.
- Treasury Optimization: Enhance resource efficiency, internal controls, and process management.
Team Collaboration & Stakeholder Engagement
- Work closely with Fund Managers, Fund Trustees, Internal Control Teams, Local Regulators (COSUMAF), and CRCT.
- Support the Custody & Treasury team to achieve performance targets.

Job Requirements
- Education: Minimum Bachelor’s degree (Bac+3) in Finance, Banking, Management, or Marketing.
- Experience: At least two years of experience in a financial institution.
- Skills & Knowledge:
- Strong analytical skills and attention to detail.
- Proficiency in financial market practices and COSUMAF regulations.
- Advanced Excel skills and understanding of securities accounting.
- Strong ability to build client relationships and work under pressure.
